Vendor Terms & Conditions

These Terms govern vendors listing and fulfilling travel-related services on the PalSafar Platform.

These Vendor Terms & Conditions (“Terms”) constitute a legally binding agreement between PalSafar, a travel technology platform owned and operated by Mr. Rahul Chelani, a sole proprietor carrying on business under the trade name “PalSafar” (hereinafter referred to as the “Platform”, “PalSafar”, “we”, “us” or “our”), and the individual or entity registering as a vendor on the Platform (hereinafter referred to as the “Vendor”, “you” or “your”).

PalSafar provides an online platform that enables independent Vendors to list and offer travel-related services, including tour packages, accommodations, transportation, activities and other travel experiences, to Users. The Platform acts solely as a technology intermediary facilitating bookings and related transactions and does not own, operate or directly provide the Services offered by Vendors.

By registering as a Vendor, creating a Vendor Account, listing Services or using the Platform, the Vendor agrees to comply with these Terms and all applicable policies issued by the Platform from time to time. If the Vendor does not agree to these Terms, it must refrain from accessing or using the Platform.

1. Definitions

Unless the context otherwise requires, the following terms shall have the meanings assigned to them below:

  • Agreementmeans these Vendor Terms & Conditions, together with any schedules, annexures, policies, guidelines, and amendments issued by PalSafar from time to time.
  • Applicable Lawsmeans all applicable statutes, laws, rules, regulations, notifications, circulars, guidelines, directions, and governmental orders in force in India, including any amendments or re-enactments thereof.
  • Bookingmeans a reservation or confirmed purchase of the Vendor’s Services made by a User through the Platform.
  • Booking Confirmationmeans the confirmation issued to the User upon successful acceptance of a Booking by the Vendor and completion of the applicable booking process.
  • Business Daymeans any day other than a Saturday, Sunday, or a public holiday on which banks are generally open for business in India.
  • Confidential Informationmeans any non-public information disclosed by one Party to the other, whether in oral, written, electronic, or any other form, including business information, customer information, pricing, technical information, financial information, trade secrets, and operational processes, but excluding information that is publicly available or lawfully obtained from a third party.
  • Customer or Usermeans any individual or entity that accesses the Platform and books or avails the Services offered by a Vendor.
  • Effective Datemeans the date on which the Vendor is approved and onboarded by PalSafar or such other date as may be agreed in writing by the Parties.
  • Force Majeure Eventmeans any event beyond the reasonable control of a Party, including natural disasters, floods, earthquakes, fires, pandemics, epidemics, war, terrorism, civil unrest, strikes, governmental actions, cyber-attacks, power failures, or failures of communication networks.
  • Intellectual Property Rightsmeans all present and future intellectual property rights, including copyrights, trademarks, service marks, trade names, logos, domain names, patents, designs, trade secrets, know-how, software, databases, and any other proprietary rights, whether registered or unregistered.
  • Party / Partiesmeans either PalSafar or the Vendor individually, and PalSafar and the Vendor collectively.
  • Platformmeans the website, mobile application, and any other digital interface operated under the trade name “PalSafar” through which travel-related Services are offered, promoted, and booked.
  • Proprietormeans Mr Rahul Chelani, carrying on business under the trade name “PalSafar”, and includes its authorised representatives and successors.
  • Servicesmeans the travel-related services offered by the Vendor through the Platform, including but not limited to hotel accommodations, holiday packages, tour services, transportation services, sightseeing activities, visa assistance, travel insurance, and any other travel-related services approved by PalSafar.
  • Service Provider or Vendormeans any individual, sole proprietorship, partnership firm, limited liability partnership, company, or other legally recognised entity that has been onboarded by PalSafar to list and provide Services through the Platform.
  • Settlement Amountmeans the amount payable by PalSafar to the Vendor after deducting applicable commissions, platform fees, taxes, refunds, chargebacks, penalties, or other agreed deductions.
  • Termsmeans these Vendor Terms & Conditions, as amended from time to time.
  • Vendor Contentmeans all information, descriptions, prices, photographs, logos, trademarks, promotional material, policies, and other content provided by the Vendor for display on the Platform.

2. Eligibility

To be eligible for registration as a Vendor on the Platform, the applicant shall satisfy the following requirements:

  1. The Vendor shall be an individual or a legally recognised business entity having the legal capacity to enter into a valid and binding contract under the applicable laws of India.
  2. The Vendor shall possess and maintain all valid licences, permits, registrations, approvals and authorisations required to lawfully provide the Services offered through the Platform.
  3. The Vendor shall comply with all applicable laws, rules, regulations and governmental directions relating to its business, including those concerning tourism, hospitality, transportation, taxation, consumer protection, labour, health and safety, and any other applicable statutory requirements.
  4. The Vendor shall provide complete, accurate and up-to-date information and documentation as may be required by the Platform from time to time.
  5. The Vendor shall maintain the necessary infrastructure, personnel, equipment and operational capability to provide the Services in a safe, efficient and professional manner.
  6. The Vendor shall maintain a valid bank account in its own name for receiving payments and settlements from the Platform.
  7. The Vendor shall immediately notify the Platform of any suspension, cancellation or expiry of any licence, permit or registration, or any event that may adversely affect its ability to provide the Services.
  8. The Platform reserves the right to determine the eligibility of any applicant and may refuse or discontinue the onboarding of any Vendor if it believes that the eligibility requirements are not satisfied.

PalSafar reserves the right to verify the Vendor’s eligibility at any time and may refuse, suspend, or terminate the Vendor’s registration or access to the Platform if the Vendor fails to satisfy the eligibility requirements or is found to have provided false, inaccurate, or misleading information.

3. Vendor Onboarding

To be onboarded on the Platform, the Vendor shall submit such information and documents as may be required by PalSafar, including but not limited to its business details, contact information, identity and address proof, PAN, GST registration (where applicable), bank account details, licences, permits, registrations, certifications, and any other documents reasonably requested by PalSafar.

PalSafar may verify the information and documents submitted by the Vendor and may seek additional information or clarification wherever necessary. The Vendor shall cooperate fully during the verification process and promptly furnish any additional documents requested. The Vendor’s onboarding shall be deemed complete only upon approval and activation of its account by PalSafar.

PalSafar reserves the right to accept, reject, suspend, or terminate any onboarding application, with or without assigning any reason, where it considers such action necessary to protect the interests of the Platform, its Users, or its business operations.

4. Appointment & Scope of Services

Subject to the Vendor’s successful onboarding and continued compliance with these Terms, PalSafar hereby grants the Vendor a limited, non-exclusive, non-transferable, and revocable right to list, promote, and offer its approved travel-related Services through the Platform. Such Services may include, without limitation, hotel accommodations, holiday packages, transportation services, sightseeing activities, visa assistance, travel insurance, and other ancillary travel services as approved by PalSafar from time to time.

The Vendor acknowledges and agrees that PalSafar operates solely as a technology-enabled marketplace and booking facilitation platform and does not own, manage, operate, or control the Vendor’s Services. PalSafar’s role is limited to facilitating the listing, marketing, booking, payment processing, and communication between the Vendor and Users. The Vendor shall remain solely responsible for the quality, safety, legality, pricing, availability, and timely fulfilment of the Services, as well as for complying with all applicable laws and fulfilling its obligations towards the Users.

Nothing contained in these Terms shall be construed as creating a partnership, joint venture, agency, employment, or franchise relationship between PalSafar and the Vendor, and each Party shall act as an independent contracting party. PalSafar further reserves the right to introduce, modify, suspend, or discontinue any category of Services or Platform features at its sole discretion, and the Vendor shall comply with any reasonable operational requirements, policies, or guidelines issued by PalSafar from time to time.

5. Vendor Obligations

The Vendor shall:

  1. provide the Services in a professional, safe, lawful, and timely manner in accordance with these Terms and all applicable laws;
  2. ensure that all information relating to the Services, including descriptions, pricing, availability, inclusions, exclusions, images, and other details provided to PalSafar, is accurate, complete, and kept up to date at all times;
  3. obtain, maintain, and renew all licences, permits, registrations, approvals, certifications, and insurance required for providing the Services and promptly notify PalSafar of any suspension, expiry, or revocation thereof;
  4. honour all confirmed Bookings received through the Platform and fulfil the Services in accordance with the details displayed to the User;
  5. promptly inform PalSafar of any cancellation, delay, change in availability, or any circumstance that may affect the fulfilment of a Booking;
  6. maintain high standards of quality, customer service, hygiene, safety, and professionalism while providing the Services;
  7. comply with all applicable consumer protection, tourism, taxation, labour, data protection, and other relevant laws and regulations;
  8. refrain from engaging in any fraudulent, misleading, deceptive, unfair, or unlawful practices, including providing false information or misrepresenting the Services;
  9. cooperate with PalSafar in resolving User complaints, refund requests, disputes, chargebacks, and other issues relating to the Services;
  10. maintain the confidentiality of all non-public information received from PalSafar or through the Platform and use such information solely for the purpose of fulfilling Bookings;
  11. process and use Users’ personal information only to the extent necessary for providing the Services and in compliance with applicable data protection laws; and
  12. immediately notify PalSafar of any event, complaint, investigation, legal proceeding, or regulatory action that may materially affect the Vendor’s ability to provide the Services or comply with these Terms.

6. Listing, Pricing & Availability

The Vendor shall be solely responsible for providing and maintaining accurate, complete, and up-to-date information relating to the Services listed on the Platform, including but not limited to service descriptions, pricing, availability, inclusions, exclusions, cancellation policies, photographs, amenities, terms of use, and any other information relevant to the User’s booking decision. The Vendor shall ensure that all listings are truthful, lawful, and not misleading, and shall promptly update any changes in pricing, availability, or service details to avoid inaccurate or outdated information being displayed on the Platform.

The Vendor acknowledges that all prices displayed on the Platform shall be inclusive or exclusive of applicable taxes, fees, and other charges, as agreed between the Parties and in accordance with applicable laws. The Vendor shall not impose any undisclosed or additional charges on Users beyond those communicated through the Platform, except where expressly permitted by law or with the User’s prior consent.

The Vendor shall ensure that the availability of its Services displayed on the Platform accurately reflects its actual inventory or capacity. In the event of any change in availability, overbooking, temporary suspension of Services, or inability to fulfil a confirmed Booking, the Vendor shall immediately notify PalSafar and cooperate in resolving the issue, including providing suitable alternatives or facilitating refunds, where applicable.

PalSafar reserves the right to review, modify the format of, temporarily suspend, or remove any listing that is inaccurate, incomplete, misleading, unlawful, infringes the rights of any third party, or otherwise violates these Terms or the operational standards of the Platform. Such action by PalSafar shall not relieve the Vendor of its obligations under these Terms.

The Vendor shall remain solely responsible for the accuracy of all information submitted to the Platform and for any loss, claim, liability, refund, compensation, or dispute arising from inaccurate listings, incorrect pricing, failure to update availability, or any misrepresentation of the Services offered through the Platform.

7. Payments & Settlement

7.1 Commercial Arrangement

The Parties acknowledge that PalSafar shall act solely as a technology-enabled marketplace facilitating bookings and payments between Users and Vendors. The commercial arrangement between the Parties, including the commission, platform fee, service fee, convenience fee, or any other agreed charges, shall be as mutually agreed in writing or through the Vendor onboarding process and may be revised by mutual agreement from time to time.

7.2 Collection of Payments

Where PalSafar collects payments from Users on behalf of the Vendor, such collection shall be solely for the purpose of facilitating the relevant transaction and settlement.

7.3 Settlement

Subject to successful completion of the booked Services and after deduction of the applicable commission, platform fees, taxes, refunds, chargebacks, penalties, and other agreed deductions, PalSafar shall settle the balance amount payable to the Vendor within the settlement cycle communicated to the Vendor.

7.4 Taxes

Each Party shall be responsible for its respective tax obligations under applicable laws. The Vendor shall issue valid tax invoices wherever required and shall ensure timely payment of GST and other applicable taxes. PalSafar may deduct taxes at source or make statutory deductions wherever required by law.

7.5 Deductions

PalSafar may deduct from the Vendor’s settlement any amount relating to refunds, cancellations attributable to the Vendor, customer compensation, chargebacks, statutory deductions, penalties, promotional contributions agreed by the Vendor, or any other amount payable by the Vendor under these Terms.

7.6 Payment Disputes

The Vendor shall notify PalSafar in writing of any settlement discrepancy within seven (7) Business Days of receiving the settlement statement. If no dispute is raised within such period, the settlement statement shall be deemed accepted, subject to any manifest error or adjustment required by applicable law.

7.7 Right of Set-Off

PalSafar shall have the right to adjust or set off any amounts due from the Vendor against any future settlements payable to the Vendor under these Terms.

8. Bookings & Fulfilment

The Vendor shall honour all confirmed Bookings received through the Platform and shall provide the Services in accordance with the descriptions, pricing, inclusions, exclusions, and other terms displayed on the Platform. The Vendor shall ensure that the Services are delivered in a professional, safe, timely, and lawful manner and in accordance with applicable industry standards and all applicable laws.

The Vendor shall maintain adequate resources, personnel, and operational capacity to fulfil all confirmed Bookings and shall promptly address any User queries, complaints, or issues relating to the Services. In the event of any delay, cancellation, overbooking, change in availability, or any circumstance that may affect the fulfilment of a Booking, the Vendor shall immediately notify PalSafar and cooperate in providing suitable alternatives or facilitating refunds, where applicable. The Vendor shall be solely responsible for any loss, claim, refund, compensation, or liability arising from its failure to fulfil a confirmed Booking or from any deficiency in the Services provided to the User.

9. Cancellation & Refund

The Vendor shall maintain and comply with a clear, fair, and transparent cancellation and refund policy for all Services offered through the Platform. The Vendor shall honour all cancellation and refund requests in accordance with its published policy and applicable laws. In the event the Vendor cancels a confirmed Booking or is unable to provide the booked Services, the Vendor shall promptly notify PalSafar, cooperate in arranging a suitable alternative where feasible, and remain solely responsible for any applicable refunds, compensation, or additional costs arising from such cancellation or non-performance.

Where a User requests cancellation, the Vendor shall process the request in accordance with the applicable cancellation policy, and any refund shall be subject to the disclosed cancellation charges, deductions, and applicable taxes. PalSafar shall act solely as a facilitator in communicating cancellation requests and processing refunds, where applicable, and shall not be responsible for any refund liability arising from the Vendor’s acts, omissions, or failure to provide the Services. PalSafar shall have the right to recover or adjust any refund amounts, chargebacks, or other sums payable by the Vendor from future settlements or any amounts due to the Vendor under these Terms.

10. Representation & Warranties

The Vendor represents and warrants that:

  1. it is duly incorporated or legally established and possesses full authority to enter into these Terms;
  2. all licences, registrations, permits, approvals, and authorisations required for providing the Services are valid and shall remain in force throughout the term of this Agreement;
  3. all information, documents, listings, pricing, photographs, and promotional material provided to PalSafar are true, complete, accurate, and not misleading;
  4. the Services shall be provided professionally, lawfully, safely, and in accordance with applicable industry standards;
  5. it shall comply with all applicable laws, regulations, governmental directions, and consumer protection requirements;
  6. the Services and related content shall not infringe the intellectual property or other rights of any third party;
  7. it shall promptly notify PalSafar of any investigation, legal proceeding, regulatory action, or material event affecting its ability to perform its obligations under these Terms; and
  8. it shall not engage in any fraudulent, deceptive, unethical, anti-competitive, or unlawful practice while using the Platform or providing the Services.

11. Compliance with Laws

The Vendor shall, at its own cost and expense, comply with all applicable laws, rules, regulations, notifications, governmental directions, and industry standards governing its business and the Services offered through the Platform. The Vendor shall obtain, maintain, and renew all licences, registrations, permits, approvals, certifications, and other authorisations required for providing the Services and shall ensure that the same remain valid throughout the term of these Terms. The Vendor shall also be solely responsible for complying with all applicable laws relating to consumer protection, tourism, taxation, labour, health and safety, data protection, and any other legal or regulatory requirements applicable to its business.

The Vendor shall ensure that all Services offered through the Platform are lawful, safe, and provided in accordance with applicable laws and industry standards. The Vendor shall promptly notify PalSafar of any suspension or cancellation of licences, regulatory action, legal proceeding, investigation, or any material event that may affect its ability to perform its obligations under these Terms. Any failure by the Vendor to comply with this Clause or applicable laws shall constitute a material breach of these Terms and shall entitle PalSafar to suspend or terminate the Vendor’s access to the Platform, remove its listings, withhold settlements, or take such other action as may be permitted under these Terms or applicable law.

12. Intellectual Property Rights

Each Party shall retain all right, title, and interest in and to its respective Intellectual Property Rights. The Vendor grants PalSafar a limited, non-exclusive, royalty-free, revocable licence during the term of these Terms to use, reproduce, display, publish, and distribute the Vendor’s name, logo, trademarks, service marks, photographs, descriptions, and other content solely for the purpose of listing, marketing, promoting, and facilitating the Vendor’s Services on the Platform. The Vendor represents and warrants that it owns or has the necessary rights and permissions to use and authorise PalSafar to use such intellectual property. The Vendor shall not use PalSafar’s name, logo, trademarks, or other intellectual property without the Proprietor’s prior written consent, except as expressly permitted under these Terms.

13. Confidentiality

The Vendor acknowledges that, during the course of its association with PalSafar, it may have access to confidential and proprietary information relating to PalSafar, its business operations, customers, pricing, marketing strategies, technical information, software, financial information, and other non-public information (“Confidential Information”). The Vendor shall keep all such Confidential Information strictly confidential and shall not disclose, reproduce, copy, or use it for any purpose other than the performance of its obligations under these Terms without the prior written consent of PalSafar.

The Vendor shall implement reasonable security measures to protect the confidentiality of such information and shall ensure that its employees, agents, and representatives who have access to the Confidential Information are bound by similar confidentiality obligations. The obligations under this Clause shall not apply to information that is publicly available through no fault of the Vendor, lawfully obtained from a third party, or required to be disclosed under applicable law or pursuant to an order of a competent authority. The obligations contained herein shall survive the termination or expiry of these Terms.

14. Data Protection

The Vendor shall collect, access, use, process, and store Users’ personal information only to the extent necessary for providing the Services and fulfilling confirmed Bookings through the Platform. The Vendor shall comply with all applicable data protection and privacy laws and shall implement appropriate technical and organisational measures to safeguard such information against unauthorised access, disclosure, alteration, loss, or misuse.

The Vendor shall not use Users’ personal information for any purpose other than the fulfilment of the Services, nor shall it sell, disclose, or share such information with any unauthorised third party without the User’s consent or unless required by applicable law. In the event of any actual or suspected data breach affecting information obtained through the Platform, the Vendor shall promptly notify PalSafar and provide all reasonable assistance in investigating, mitigating, and resolving such incident.

15. Indemnification

The Vendor shall indemnify, defend, and hold harmless PalSafar, the Proprietor, its employees, representatives, agents, and affiliates from and against any and all claims, demands, actions, proceedings, liabilities, losses, damages, penalties, fines, costs, and expenses (including reasonable legal fees) arising out of or relating to the Vendor’s breach of these Terms, violation of applicable laws, negligence, fraud, willful misconduct, infringement of any third-party rights, inaccurate listings, failure to provide the Services, customer complaints, refunds, regulatory actions, or any act or omission attributable to the Vendor.

The Vendor further agrees to cooperate with PalSafar in the defense or settlement of any claim and acknowledges that the indemnification obligations under this Clause shall survive the termination or expiry of these Terms.

16. Limitation of Liability

To the fullest extent permitted under applicable law, PalSafar shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including any loss of profits, revenue, goodwill, business opportunities, or data arising out of or in connection with the Vendor’s use of the Platform or the provision of the Services. PalSafar acts solely as a technology-enabled intermediary facilitating bookings between Vendors and Users and shall not be responsible for the quality, safety, legality, availability, or performance of the Vendor’s Services.

In no event shall PalSafar’s total aggregate liability under these Terms exceed the amount of commission or service fees actually received by PalSafar from the relevant Booking giving rise to the claim. Nothing contained in this Clause shall exclude or limit any liability that cannot be excluded or limited under applicable law.

17. Suspension & Termination

PalSafar reserves the right to suspend, restrict, or terminate the Vendor’s access to the Platform, remove the Vendor’s listings, or withhold settlements, with or without prior notice, if the Vendor breaches these Terms, provides false or misleading information, fails to comply with applicable laws, engages in fraudulent, unethical, or unlawful practices, repeatedly fails to fulfil Bookings, receives persistent customer complaints, or otherwise acts in a manner that may adversely affect the Platform, its Users, or its reputation. The Vendor may terminate its association with PalSafar by providing prior written notice in accordance with the commercial arrangement between the Parties; however, such termination shall not affect any confirmed Bookings, payment obligations, refunds, indemnity obligations, or any rights and liabilities accrued prior to the effective date of termination. Upon termination, the Vendor shall immediately cease using the Platform and all licences and rights granted under these Terms shall automatically stand revoked.

18. Force Majeure

Neither Party shall be liable for any delay or failure in performing its obligations under these Terms to the extent such delay or failure results from events beyond its reasonable control, including but not limited to natural disasters, floods, earthquakes, fires, pandemics, epidemics, war, terrorism, civil unrest, strikes, governmental actions, power failures, communication network failures, cyber-attacks, or other force majeure events. The affected Party shall promptly notify the other Party of the occurrence of such event and shall use reasonable efforts to mitigate its effects and resume performance as soon as reasonably practicable. Where a Force Majeure Event continues for an extended period materially affecting the performance of these Terms, either Party may terminate the Agreement upon written notice without incurring liability for such termination.

19. Governing Laws & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. The Parties shall endeavour to resolve any dispute, controversy, or claim arising out of or relating to these Terms through good faith negotiations and mutual discussions. If the dispute is not resolved amicably within thirty (30) days from the date on which one Party notifies the other of the dispute, the Parties may refer the matter to arbitration in accordance with the provisions of the Arbitration and Conciliation Act, 1996, as amended from time to time. The arbitration shall be conducted by a sole arbitrator mutually appointed by the Parties, the seat and venue of arbitration shall be Jabalpur, Madhya Pradesh, India, and the proceedings shall be conducted in the English language. Subject to the foregoing, the courts at Jabalpur, Madhya Pradesh, India shall have exclusive jurisdiction over matters arising out of or relating to these Terms.

20. Amendments

PalSafar reserves the right to amend, modify, update, or replace these Vendor Terms & Conditions, in whole or in part, at any time to reflect changes in applicable laws, business practices, operational requirements, or the Services offered through the Platform. Any such amendments shall become effective upon being communicated to the Vendor through the Platform, email, or any other mode of communication deemed appropriate by PalSafar, unless otherwise specified. The Vendor’s continued use of the Platform or continued provision of Services after the effective date of such amendments shall constitute its acceptance of the revised Terms. If the Vendor does not agree to the amended Terms, it shall discontinue the use of the Platform and may terminate its association with PalSafar in accordance with these Terms.
